1. Parties & Property
This Short-Term Rental Agreement and Liability Waiver ("Agreement") is entered into between Tarheel Tactics LLC ("Owner"), with the property located at 279 Santa Rosa Ave, Sausalito, CA 94965 ("Property"), and the individual or individuals identified in the booking confirmation ("Guest" or "Guests"). This Agreement is intended to govern direct bookings made outside of third-party rental platforms. Where a booking is made through a platform such as Airbnb, VRBO, or a similar service that provides its own binding terms of service, those platform terms shall take precedence over any conflicting provisions herein; in such cases, this Agreement may still be used as a supplemental document to clarify house rules, policies, and expectations not addressed by the platform's terms. Where no conflict exists, all provisions of this Agreement apply in full.
2. Rental Period & Minimum Stay
The rental period begins on the confirmed check-in date at 4:00 PM and ends on the confirmed check-out date at 11:00 AM. A minimum stay of thirty (30) consecutive days is required for all direct bookings. Early departure does not entitle Guest to a refund of the unused rental period. Owner reserves the right to decline requests that do not meet the minimum stay requirement.
3. Rent, Fees & Payment
Monthly rental rates vary by season: Peak Summer (Jun 1–Sep 30) $425/night, Fall (Oct 1–Nov 30) $375/night, Spring (Mar 1–May 31) $350/night, Winter (Dec 1–Feb 28) $300/night, and Holidays $475/night. A one-time cleaning fee of $300 applies to each stay. Pet fee of $20 per pet per day applies if pets are brought onto the Property, billed monthly. All fees are due prior to check-in unless otherwise agreed in writing. Accepted payment methods will be confirmed at booking. Returned or failed payments incur a $50 processing fee.
4. Security Deposit
A refundable security deposit of $1000 is required prior to check-in and will be returned within seven (7) days of checkout, subject to property inspection. Owner may deduct from the deposit: (a) cost of repairing damage beyond normal wear and tear; (b) excessive cleaning fees above the standard cleaning charge; (c) replacement cost of missing or damaged furnishings, linens, or appliances; (d) unpaid rent, fees, or fines; (e) any costs resulting from violation of this Agreement. Owner will provide itemized documentation of any deductions. Disputes over deductions must be submitted in writing within fourteen (14) days of the deposit statement.
5. Occupancy & Guest Limits
The Property accommodates a maximum of 7 guests. Guest must disclose all occupants at the time of booking. Unauthorized occupants are a breach of this Agreement and may result in immediate termination without refund. Guest is responsible for the conduct of all occupants and visitors. Overnight guests beyond the stated maximum are prohibited without prior written consent. Owner may verify occupancy at any time with reasonable notice.
6. Pets
Pets are permitted only with prior written approval from Owner. Guest must disclose the species, breed, and weight of each pet at booking. A pet fee of $20 per pet per day will be added to the rental agreement. Guest is fully responsible for any property damage caused by pets, any injury to third parties, and any additional cleaning required. Pets must be kept off all furniture and beds unless Owner grants explicit permission. Evidence of undisclosed pets will result in forfeiture of the full security deposit and may result in immediate termination of the rental period.
7. House Rules & Conduct
Guest agrees to the following conduct standards throughout the rental period: (a) Quiet hours are strictly observed from 10:00 PM – 8:00 AM; (b) No smoking of any substance is permitted anywhere on the Property or its grounds — violations incur a $500 mandatory deep-clean fee charged against the security deposit; (c) No events, parties, or gatherings beyond the maximum occupancy limit; (d) Shoes must be removed upon entry to protect hardwood floors; (e) Outdoor fires are not permitted; the indoor gas fireplace may be used according to posted instructions; (f) Parking is permitted only in designated spots; do not park in other residents' spaces; (g) All trash and recycling must be bagged and sorted per Sausalito municipal requirements and placed in designated bins before checkout. Failure to comply with house rules may result in immediate termination of the rental, forfeiture of the security deposit, and additional charges for documented damages.
8. Cancellation Policy
Guest may cancel this Agreement subject to the following terms: Full refund of rent paid (excluding cleaning fee) if cancellation is received fourteen (14) or more days before the scheduled check-in date. Fifty percent (50%) refund if cancellation is received between seven (7) and thirteen (13) days before check-in. No refund for cancellations received within seven (7) days of check-in or for early departure after check-in. The cleaning fee is non-refundable once cleaning services have been scheduled. Owner may cancel this Agreement due to property emergency, natural disaster, or events beyond Owner's control; in such cases a full refund will be provided. Owner's cancellation liability is limited to amounts paid by Guest.
9. Property Condition & Care
Guest agrees to maintain the Property in the same condition as received, reasonable wear and tear excepted. Guest shall promptly notify Owner of any damage, malfunction, or safety concern. Guest shall not make any alterations to the Property, move furniture outside of its intended placement, or remove any Property items. Guest shall use all appliances, systems, and fixtures only as intended. Upon checkout, Guest shall: return all keys and access devices; remove all personal belongings; dispose of trash; leave dishes washed or in the dishwasher; and leave the Property in a reasonably clean and orderly condition. Checkout is strictly at 11:00 AM. Late checkout must be requested and approved in writing in advance. Guests who remain on the Property past the 11:00 AM checkout time without prior written approval will be charged $50 per hour or any portion thereof until the Property is fully vacated. These charges will be deducted from the security deposit or invoiced separately.
10. Assumption of Risk & Liability Waiver
GUEST ACKNOWLEDGES AND VOLUNTARILY ASSUMES ALL RISKS associated with occupying a hillside residential property, including but not limited to: steep terrain, exterior stairs and decks, uneven surfaces, wet or slippery conditions, proximity to traffic, and coastal weather. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GUEST HEREBY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE Owner, Tarheel Tactics LLC, its members, officers, agents, employees, and assigns from any and all liability, claims, demands, actions, and causes of action whatsoever, arising from any loss, damage, or injury — including death — that may be sustained by Guest or any occupant, whether caused by negligence of Owner or otherwise, during the rental period or in connection with the use of the Property. This waiver applies to Guest and all occupants, visitors, and invitees brought onto the Property by Guest.
11. Indemnification
Guest agrees to indemnify, defend, and hold harmless Owner and Tarheel Tactics LLC, its members, officers, agents, and employees from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising from: (a) Guest's or any occupant's use or occupancy of the Property; (b) any breach of this Agreement by Guest; (c) any negligent or wrongful act or omission by Guest or any occupant or visitor; or (d) any claim by a third party arising from Guest's tenancy. This indemnification obligation survives termination of this Agreement.
12. Insurance
Owner maintains general liability insurance on the Property. Guest is strongly encouraged — and for stays exceeding thirty (30) days, is required — to obtain a short-term rental or travel insurance policy covering personal property loss, trip cancellation, and personal liability. Owner's insurance does not cover Guest's personal property, vehicles, or liability for Guest's actions. Owner is not responsible for loss or theft of Guest's personal property at any time during the rental period.
13. Owner's Right of Entry
Owner or Owner's designated agents may enter the Property with twenty-four (24) hours advance written notice for the purposes of inspection, maintenance, repairs, or showing the Property to prospective tenants or buyers. In the event of an emergency threatening life or property, Owner may enter immediately without notice. Owner will endeavor to schedule non-emergency entry at a time reasonably convenient to Guest.
14. Prohibited Uses
Guest shall not use the Property for any unlawful purpose. The following are expressly prohibited: subletting or re-listing the Property on any platform; conducting commercial activity, filming, or photography for commercial purposes without prior written consent; exceeding the maximum occupancy limit; using the Property for events, parties, or gatherings open to the public; bringing on or storing illegal substances; and any activity that disturbs neighbors or violates Sausalito municipal ordinances. Violation of this section is grounds for immediate termination without refund.
15. Force Majeure
Neither party shall be liable for delays or failure to perform obligations under this Agreement due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, government orders, public health emergencies, utility failures, or other events constituting force majeure. In such events, Owner will work in good faith with Guest to reschedule or issue appropriate credits; however, Owner's liability is limited to amounts already paid by Guest.
16. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute, claim, or controversy arising from or relating to this Agreement or any stay at the Property — including questions of its existence, validity, or termination — shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with proceedings held in Marin County, CA. Judgment upon the arbitration award may be entered in any court of competent jurisdiction. THE PARTIES WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION. The prevailing party in any arbitration shall be entitled to recover reasonable attorney fees and costs.
17. Entire Agreement & Modifications
This Agreement, together with the booking confirmation and any written addenda, constitutes the entire agreement between the parties with respect to the rental of the Property and supersedes all prior negotiations, representations, warranties, and understandings. No modification of this Agreement shall be binding unless made in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure by Owner to enforce any provision shall not constitute a waiver of that provision.
18. Electronic Acknowledgment
By submitting a booking request or signing this Agreement electronically, Guest confirms that: (a) Guest has read and understood this Agreement in its entirety; (b) Guest is at least eighteen (18) years of age; (c) Guest has authority to bind all occupants to the terms herein; (d) Guest's electronic signature constitutes a legally binding signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA); and (e) Guest consents to receive rental-related communications electronically.
